Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhatsEstate platform and related services ("Service") provided by WhatsEstate ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Definitions

  • "Platform" refers to the WhatsEstate web application, APIs, and all related tools and features.
  • "User" or "You" refers to any individual or business entity that accesses or uses the Service.
  • "Subscription" refers to the paid plan you select to access the Service.
  • "Content" refers to any data, text, images, or materials you upload, transmit, or store through the Service.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By registering, you represent and warrant that you meet these requirements and that the information you provide is accurate and complete.

3. Account Registration

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

4.1 Subscription Plans

WhatsEstate offers subscription-based access to the Service. Details of available plans, features, and pricing are available on our website and may be updated from time to time.

4.2 Auto-Renewal

All subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the applicable subscription fee at the start of each renewal period using your payment method on file.

4.3 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.4 Payment

All payments are processed securely through our third-party payment processors. You agree to provide valid and current payment information. Failed payments may result in suspension of your account.

5. Fair Usage Policy

5.1 Message Limits

Each subscription plan includes a specified number of WhatsApp messages per billing period. Usage beyond the included quota may incur additional charges as outlined in your plan details.

5.2 Prohibited Messaging Practices

You agree not to use the Service to:

  • Send unsolicited bulk messages (spam)
  • Send messages that violate WhatsApp's Business Policy or Terms of Service
  • Send deceptive, misleading, or fraudulent messages
  • Harass, threaten, or abuse recipients
  • Send messages containing illegal content
  • Attempt to circumvent message limits or rate controls

5.3 Quality Rating

WhatsApp assigns quality ratings to business numbers. If your quality rating drops due to user complaints, we may limit your messaging capabilities or suspend your account to protect the integrity of the platform.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service in a manner that could damage, disable, or impair the platform
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or sublicense access to the Service without our written consent

7. Termination

7.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.

7.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Fair Usage Policy
  • You engage in spamming, abuse, or any form of messaging malpractice
  • Your use of the Service poses a risk to other users or the platform
  • You fail to pay applicable fees
  • Required by law or regulatory authority

7.3 Effect of Termination

Upon termination, your right to access the Service will cease immediately. We may delete your data within 90 days of termination unless retention is required by law. You remain responsible for any outstanding fees.

8. Intellectual Property

The Service, including its design, features, code, and branding, is the intellectual property of WhatsEstate and is protected by applicable copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

You retain ownership of the Content you upload to the Service. By uploading Content, you grant us a limited license to process and display it as necessary to provide the Service.

9. Disclaimer

WhatsEstate is a technology platform that provides WhatsApp-based CRM and automation tools for real estate professionals. We are not a real estate agency, brokerage, or advisory service.

We do not:

  • Provide real estate advice or recommendations
  • Guarantee the sale, purchase, or rental of any property
  • Verify the accuracy of property listings uploaded by users
  • Act as an intermediary in real estate transactions
  • Hold responsibility for agreements made between you and your clients

You are solely responsible for the accuracy of your property listings, the content of your messages, and your compliance with applicable real estate laws and regulations.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • In no event shall WhatsEstate be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
  • Our total liability to you shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless WhatsEstate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Content, or your violation of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

13. Dispute Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hello@whatsestate.com. We will attempt to resolve the dispute within 30 days. If the dispute cannot be resolved informally, either party may pursue formal legal remedies.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the platform at least 15 days before the changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
